Restaurant Partner Terms

Last Updated: September 5, 2026

These Restaurant & Merchant Partner Terms (“Partner Terms”) apply to restaurants, food businesses, merchants, sellers, and other eligible businesses (“Partner”, “you”, or “your”) using or participating in the SwaadSathi™ Platform.

The SwaadSathi Platform is operated and managed by Workfeast Technologies Private Limited (“Company”, “we”, “us”, or “our”).

SwaadSathi™ is a brand owned by Adarsh Kumar Sharma and is used by Workfeast Technologies Private Limited with the authorization of the brand owner.

These Partner Terms should be read together with any separate commercial agreement, onboarding form, commission agreement, service agreement, or other agreement executed between the Partner and Workfeast Technologies Private Limited.

Where a separately executed written agreement contains specific commercial terms, those specific terms shall apply to the extent relevant to the relationship.

1. Partner Eligibility

A Partner must be legally eligible to operate the applicable business and must maintain all licences, registrations, permissions, and approvals required for its activities.

Depending upon the nature of the Partner's business, this may include applicable:

  • FSSAI licence/registration;
  • GST registration, where applicable;
  • PAN;
  • Business registration;
  • Local licences;
  • Bank and settlement information;
  • Other statutory approvals.

2. FSSAI and Food-Safety Compliance

Every restaurant or food-business Partner is responsible for maintaining a valid FSSAI licence or registration appropriate to its business.

The Partner agrees to provide accurate licence/registration details and supporting documentation where requested.

The Partner must immediately inform SwaadSathi if an applicable licence or registration:

  • Expires;
  • Is suspended;
  • Is cancelled;
  • Is modified in a manner affecting the business;
  • Becomes otherwise invalid.

SwaadSathi may restrict or suspend a listing where required compliance information is unavailable, invalid, expired, or where continued listing may violate applicable requirements.

3. Partner Information

The Partner agrees to provide accurate and current information including:

  • Legal/business name;
  • Restaurant/store name;
  • Address;
  • Contact details;
  • Operating hours;
  • Bank information;
  • Applicable tax details;
  • Applicable FSSAI details;
  • Menu/product information;
  • Pricing;
  • Other information reasonably required for Platform operations.

The Partner is responsible for notifying SwaadSathi of material changes.

4. Menu, Products and Pricing

Partners are responsible for the accuracy of:

  • Product/menu names;
  • Descriptions;
  • Prices;
  • Taxes;
  • Ingredients;
  • Variants;
  • Availability;
  • Images supplied by the Partner;
  • Dietary classifications;
  • Applicable product information.

Partners should promptly mark unavailable products as unavailable.

5. Food Preparation and Quality

Restaurant Partners are solely responsible for food prepared by them, including:

  • Ingredients;
  • Preparation;
  • Hygiene;
  • Quality;
  • Quantity;
  • Freshness;
  • Food safety;
  • Packaging;
  • Applicable labelling;
  • Compliance with food-safety requirements.

Food must not knowingly be supplied if it is unsafe, adulterated, contaminated, expired, or otherwise prohibited by applicable law.

6. Packaging

Partners must use packaging reasonably appropriate for the food or product being supplied.

Packaging should:

  • Protect the product during delivery;
  • Minimize leakage and contamination;
  • Be appropriate for the product type;
  • Meet applicable food-safety requirements.

7. Order Acceptance

Partners should promptly accept or reject incoming orders through the Partner application or other supported system.

Once an order has been accepted, the Partner should make reasonable efforts to prepare it within the indicated preparation period.

Repeated acceptance followed by avoidable cancellation may affect Partner performance or Platform participation.

8. Order Accuracy

Partners must make reasonable efforts to ensure that:

  • Correct items are prepared;
  • Correct quantities are supplied;
  • Customer-selected variations are followed;
  • Applicable instructions are considered;
  • Orders are appropriately packaged before handover.

9. Handover to Delivery Partner

Where SwaadSathi-facilitated delivery applies, the Partner should hand over the correctly prepared order to the assigned delivery partner after appropriate order verification.

Partners should not knowingly hand over an order to an unauthorized person.

10. Partner-Managed Delivery

Where a Partner independently fulfils delivery, the Partner is responsible for its delivery personnel and for completing delivery in accordance with applicable requirements and customer instructions.

11. Cancellations and Refunds

Where an order is cancelled or refunded because of circumstances attributable to the Partner, including:

  • Item unavailable after acceptance;
  • Incorrect item;
  • Missing item;
  • Material preparation issue;
  • Avoidable restaurant cancellation;

the applicable financial adjustment may be made according to the Partner's commercial agreement and SwaadSathi policies.

12. Commission, Fees and Charges

Commission rates, platform fees, promotional contributions, settlement deductions, taxes, and other commercial charges will be governed by the Partner's applicable onboarding/commercial agreement.

Unless expressly stated in writing, these Partner Terms do not establish a single universal commission rate for every Partner.

13. Settlements

Eligible Partner settlements may be processed periodically according to the applicable commercial arrangement.

Adjustments may include:

  • Commission;
  • Taxes;
  • Refunds;
  • Cancellations;
  • Promotional contributions;
  • Other agreed or applicable adjustments.

Partners are responsible for maintaining correct bank and tax information.

14. Taxes

Each Partner is responsible for its own applicable tax registrations, returns, invoices, records, and liabilities except where applicable law specifically places an obligation on another party.

15. Customer Information and Privacy

Partners may receive limited customer information necessary to fulfil an order.

Partners must not use customer information for unrelated purposes, including unauthorized:

  • Marketing;
  • Solicitation;
  • Resale;
  • Disclosure;
  • Profiling;
  • Contact after completion of an order.

Customer information must be handled securely and in accordance with applicable law.

16. Prohibited Conduct

Partners must not:

  • Provide illegal or prohibited products;
  • Misrepresent products;
  • Provide materially false business information;
  • Manipulate orders;
  • Create fraudulent transactions;
  • Manipulate reviews or ratings;
  • Misuse customer information;
  • Attempt unauthorized access to the Platform;
  • Engage in abusive or discriminatory conduct toward customers or delivery partners.

17. Customer Complaints

Partners agree to reasonably cooperate with SwaadSathi in investigating:

  • Missing items;
  • Incorrect items;
  • Quality complaints;
  • Food-safety complaints;
  • Refund claims;
  • Order disputes.

Relevant order information may be requested to investigate complaints.

18. Ratings and Reviews

Customers may be permitted to provide ratings and reviews based on their experience.

Partners must not manipulate ratings through fraudulent orders, incentives conditioned on positive ratings, threats, or other deceptive practices.

19. Platform Availability

SwaadSathi does not guarantee any minimum number of orders, sales, customers, revenue, or geographic reach to a Partner.

Platform availability may be affected by maintenance, technology failures, third-party services, or circumstances outside reasonable control.

20. Suspension or Removal

A Partner's account or listing may be restricted, suspended, or removed where reasonably necessary because of:

  • Expired or invalid required licences;
  • Serious food-safety concerns;
  • Fraud;
  • Repeated order failures;
  • Customer-safety concerns;
  • Misuse of customer information;
  • Material breach of applicable agreements;
  • Legal or regulatory requirements.

Where appropriate and legally permissible, the Partner may be given an opportunity to provide clarification or correct the issue.

21. Intellectual Property

SwaadSathi™ and the associated brand identity are owned by Adarsh Kumar Sharma and are used by Workfeast Technologies Private Limited with authorization from the brand owner.

Participation on the Platform does not transfer ownership of the SwaadSathi name, logo, branding, software, or technology to a Partner.

A Partner may use approved SwaadSathi branding only as expressly authorized for its participation on the Platform.

22. Partner Intellectual Property

The Partner represents that it has the necessary rights to provide any:

  • Restaurant name;
  • Logo;
  • Product images;
  • Menu content;
  • Descriptions;

submitted for display through the Platform.

The Partner authorizes their reasonable use for listing, promoting, and facilitating orders through SwaadSathi during the Partner relationship.

To the extent permitted by applicable law, Workfeast Technologies Private Limited shall not be liable for indirect, incidental, special, or consequential losses arising from Platform participation.

Nothing in these Partner Terms excludes liability that cannot legally be excluded.

24. Termination

The Partner relationship may be terminated according to the applicable commercial agreement.

Termination does not eliminate outstanding obligations relating to:

  • Completed orders;
  • Settlements;
  • Refunds;
  • Taxes;
  • Customer complaints;
  • Confidentiality;
  • Data protection;
  • Intellectual property;
  • Other obligations intended to survive termination.

25. Changes to Partner Terms

These Partner Terms may be updated periodically to reflect changes in Platform services, operations, commercial processes, or applicable requirements.

Material changes may be communicated through appropriate Platform or Partner communication channels where required.

26. Governing Law and Jurisdiction
